1. Acceptance of Terms

By accessing the Spindrop website or subscribing to any of our drill bit delivery services, you confirm that you have read, understood, and agree to be bound by these Terms of Service in their entirety. These terms constitute a legally binding agreement between you and Spindrop, a business registered and operating in Vihiga County, Kenya. If you do not agree with any part of these terms, you must discontinue use of our service immediately. We reserve the right to update these terms at any time, and continued use of the service following any such update constitutes your acceptance of the revised terms.

2. Description of Service

Spindrop provides a subscription-based service that curates and delivers professional drill bits, driver attachments, and related tooling products to tradespeople and businesses across Kenya on a monthly basis. Subscription tiers include Starter, Professional, and Enterprise plans, each offering a different volume and variety of products. The exact contents of each monthly shipment are determined by Spindrop based on the trade profile you provide during signup. We do not guarantee that any specific brand, model, or product will appear in every shipment, though we commit to delivering items that match the declared trade category and quality standard associated with your chosen tier.

3. Subscriptions and Billing

All subscriptions are billed on a monthly cycle beginning on the date of your initial payment. Pricing is denominated in Kenya Shillings as displayed on our pricing page at the time of purchase. By subscribing, you authorise Spindrop to charge the applicable monthly fee to your designated payment method on the same date each month until you cancel. Spindrop reserves the right to adjust subscription pricing with a minimum of thirty days' written notice to subscribers. Failure to maintain a valid payment method may result in suspension of your subscription without prior warning. Reactivation of a suspended account will be subject to the current pricing in effect at the time of reactivation.

4. Cancellation Policy

You may cancel your Spindrop subscription at any time by contacting our support team via phone. Cancellations submitted before the next billing cycle begins will take effect at the end of the current paid period, meaning you will continue to receive your final box for the month already paid. We do not offer pro-rated refunds for partial months under any circumstances. Cancellations submitted after billing has already processed for the upcoming cycle will take effect at the conclusion of that billing period. Spindrop does not charge any cancellation fees, and there is no minimum subscription commitment period unless you have entered into a corporate or enterprise agreement that specifies otherwise.

5. Delivery and Risk of Loss

Spindrop ships to all 47 counties in Kenya through a network of vetted last-mile courier partners. Delivery timelines are estimates and may vary depending on your location, public holidays, weather, and logistical conditions outside our control. Risk of loss or damage to products transfers to you upon handover to the courier. Where tracking is provided, it is your responsibility to monitor delivery progress and arrange availability for receipt. Spindrop is not liable for delays caused by incorrect delivery addresses supplied by the subscriber. If a shipment is confirmed lost by the courier, Spindrop will investigate and, at its discretion, offer a replacement shipment or account credit.

6. Product Use and Safety

All drill bits and attachments supplied through Spindrop are intended for professional or competent trade use only. You are solely responsible for ensuring that you operate all drilling equipment in accordance with applicable safety regulations and manufacturer guidelines. Spindrop accepts no liability for injury, property damage, or financial loss resulting from improper use, inadequate protective equipment, or use of our products on materials or in conditions for which they are not rated. Bits must be used with compatible drill platforms operating within the torque and RPM parameters specified on the product documentation included in each shipment.

7. Intellectual Property

All content published on the Spindrop website, including but not limited to text, product photography, branding elements, graphic design, and written descriptions, is the exclusive property of Spindrop or its licensed content providers. You may not reproduce, redistribute, republish, or commercially exploit any portion of this content without prior written permission from Spindrop. Product brand names referenced on this site remain the property of their respective manufacturers and are used for descriptive purposes only. Nothing in these terms grants you any licence or ownership interest in Spindrop's intellectual property or any third-party marks appearing on the site.

8. Limitation of Liability

To the fullest extent permitted under Kenyan law, Spindrop's total liability to any subscriber arising from or related to these terms, the subscription service, or any product delivered shall not exceed the total amount paid by that subscriber in the three months immediately preceding the event giving rise to the claim. Spindrop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business, or reputational harm, regardless of whether such damages were foreseeable. This limitation applies whether the claim is based in contract, tort, statute, or any other legal theory.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Kenya. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These terms constitute the entire agreement between you and Spindrop with respect to the subscription service and supersede all prior representations, agreements, or understandings, whether written or oral, relating to the same subject matter.
